General provisions

These Terms of Service (“Terms”) govern your relationship with www.profiquote.com (the “Service”) operated by ACCEPIO, LLC (“us”, “we”, and “our”).

The term “You” refers to you, as a user of our Site or our Service.

Your access and use of the Service is conditioned on your acceptance and compliance with these terms, including our Privacy Policy. These terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you consent to take liability under these Terms. If you disagree with any part of the terms, you may not access the Service.

1. SUBSCRIPTIONS

The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis (“Billing Period”). Billing periods are set on a monthly/yearly basis.

At the end of each Billing Period, your Subscription will automatically renew under the same conditions, unless you cancel it.

To process Subscription payments, a valid payment method, i.e. a credit card, is required. You are responsible for providing accurate and complete billing information. By submitting payment information, you automatically authorize us to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, we will notify you via email, and attempts may be made to process the payment again.

2. FREE VERSION

We offer a Subscription with a free version (“Free Version”).

When signing up for the Free Version, you are not obligated to provide billing information.

While using the Free Version, ACCEPIO, LLC will not charge you unless you decide to upgrade to another applicable Subscription plan.

We reserve the right to modify the terms of the Free Version offer or terminate the offer at any time without prior notice.

3. FEE CHANGES

ACCEPIO, LLC reserves the right to, at its discretion and at any time, modify the Subscription fees for the Subscriptions. Any changes to Subscription fees will take effect at the end of the ongoing Billing Period.

We will provide you with reasonable prior notice of any change in Subscription, allowing you an opportunity to terminate your Subscription before the modified fees become applicable.

Your continued use of the Service following the implementation of Subscription fee changes indicates your agreement to pay the adjusted fee amount.

4. REFUNDS

Paid Subscription fees for the Service billed on a subscription basis are non-refundable.

5. CONTENT

Our Service enables you to post, link, store, share, and otherwise make available various information, text, graphics, or other materials ("Content"). You are accountable for the legality, reliability, and appropriateness of the Content you post on the Service.

By posting Content to the Service, you retain all rights to the submitted, posted, or displayed Content, and you are responsible for protecting those rights.

You confirm and warrant that the Content belongs to you (you own it) or you possess the right to use it, and that posting your Content on the Service does not infringe upon the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any individual.

6. ACCOUNTS

When creating an account with us, you are required to provide accurate, complete, and up-to-date information. Failure to comply with this requirement constitutes a violation of the Terms, which may lead to the immediate termination of your account on our Service.

It is your responsibility to secure the password used to access the Service and monitor all activities conducted under your password, whether within our Service or through a third-party service. You agree not to disclose your password to any third party and must promptly notify us upon discovering any security breach or unauthorized use of your account.

7. INTELLECTUAL PROPERTY

The Service, along with its original content (excluding Content contributed by you and/or your customers), features, and functionality, is and will remain the exclusive property of ACEEPIO, LLC. The Service is protected by copyright, trademark, and other laws in the USA. Any use of our trademark without the prior written consent of ACCEPIO, LLC in connection with any product or service is strictly prohibited.

8. LINKS TO OTHER WEBSITES

Our Service may contain links to third-party websites or services that are not owned or controlled by ACCEPIO, LLC.

We have no authority over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ACCEPIO, LLC is not liable for any damage or loss, directly or indirectly, caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such websites or services.

9. TERMINATION

We retain the right to terminate or suspend your account immediately and without prior notice or liability for any reason, including, but not limited to, a breach of the Terms. Upon termination, your ability to use the Service will cease immediately. Should you decide to terminate your account, you can deactivate or cancel it in the "Account Settings" section.

10. LIMITATION OF LIABILITY

In no event shall ACCEPIO, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of the Service; any conduct or content of any third party on the Service; any content obtained from the Service; and unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory. Even if we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose, ACCEPIO, LLC shall not be held liable.

This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

ACCEPIO, LLC shall not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; any errors or defects will be corrected; the Service is free of viruses or other harmful components; or the results of using the Service will meet your requirements.

12. CHANGES TO THESE TERMS

We reserve the right, at our sole discretion, to change these Terms of Service at any time. We will notify you of significant changes to our Privacy Policy by sending a notice to the primary email address specified in your account or by placing a prominent notice on our site. Material changes will go into effect 30 days following such notification. Non-material changes or clarifications will take effect immediately.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
